ShapeCard is a financial technology company, not a bank. Banking services and cards will be provided by our bank partner (Pending bank partner).
The terms of your credit account with our bank partner. Read it carefully and save a copy.
Pre-launch draft. The ShapeCard Credit Card is not yet offered, and this agreement is not final until our bank partner and counsel approve it.
This Credit Card Agreement is between you and Pending bank partner (the Issuing Bank, "we" or "us"), which issues the ShapeCard Credit Card and extends the credit. ShapeCard LLC is the program manager: it runs the app, the spending rules and customer support, but it is not the lender.
This Agreement, the Credit Card Rates and Fees and your application are the terms of your credit account. The Cardholder Agreement covers the ShapeCard features of the card; if the two conflict about credit, this Agreement controls.
You may use the card for purchases wherever the card network is accepted, subject to your available credit and the spending rules on the card. You promise to repay all amounts you owe under this Agreement, including amounts charged by authorized users. We may decline any transaction.
We set your credit limit based on your application and ability to pay, and tell you what it is. Limits offered: Pending bank partner. We may raise or lower it, and we will tell you if we lower it. Please keep your balance within your limit; we do not charge a fee for going over it.
Your interest rates are shown in the Credit Card Rates and Fees. Variable rates are based on Pending bank partner and change when that index changes.
We figure interest using Pending bank partner. You can avoid interest on purchases by paying your full statement balance by the due date each month. Your due date is Pending bank partner.
If you make a late payment, a penalty rate of Pending bank partner may apply as the Rates and Fees describe: Pending bank partner.
Your fees are listed in the Credit Card Rates and Fees. No late fee will be more than the minimum payment that was due, and we will not charge more than one penalty fee for a single event.
Each month you have a balance, you must pay at least the minimum payment shown on your statement by its due date. Payments received by 5 p.m. Eastern time on a business day are credited that day. You may pay more than the minimum, or your full balance, at any time.
We apply the minimum payment as we choose. We apply any amount above the minimum payment first to the balance with the highest interest rate, then to the next highest, as federal law requires.
We send a statement for each billing cycle in which you have a balance or activity, electronically under your E-SIGN consent, at least 21 days before the payment due date.
You may add authorized users, including a minor aged 13 or older whose card you manage as approver. You are responsible for every transaction an authorized user makes, and you can set rules on or remove their card at any time. We do not report your account to the credit bureaus in an authorized user's name unless the law requires it.
You are in default if you do not make a required payment by its due date, if a payment is returned, or if you break this Agreement. If you are in default, we may, as the law allows, close or suspend your account and require you to pay your balance in full.
You may close your account at any time by emailing support@shapecard.ai. You still owe any balance, which stays subject to this Agreement until paid.
We may report information about your account to credit bureaus. Late payments, missed payments, or other defaults on your account may be reflected in your credit report. If you think we reported something inaccurate, write to us at support@shapecard.ai and tell us what you believe is wrong.
We may change this Agreement, including rates and fees, as the law allows. For a significant change, we will tell you at least 45 days before it takes effect and tell you about any right you have to reject it. [BANK PARTNER TO CONFIRM CHANGE IN TERMS PRACTICE.]
Keep this notice for future use. It tells you about your rights and our responsibilities under the Fair Credit Billing Act.
If you think there is an error on your statement, write to us at support@shapecard.ai or the address the Issuing Bank gives on your statement. In your letter, give us:
You must contact us within 60 days after the error appeared on your statement, and at least 3 business days before an automated payment is scheduled if you want to stop payment on the amount you think is wrong. You must notify us of any potential errors in writing. You may call us, but if you do we are not required to investigate any potential errors and you may have to pay the amount in question.
When we receive your letter, we must do two things: within 30 days, tell you that we received it (unless we have already corrected the error), and within 90 days, either correct the error or explain why we believe the bill is correct. While we investigate, we cannot try to collect the amount in question or report you as delinquent on it, and the charge may remain on your statement. You do not have to pay the amount in question, but you are responsible for the remainder of your balance.
If we find that we made a mistake, you will not have to pay the amount in question or any interest or fees related to it. If we find no mistake, you may have to pay the amount in question along with applicable interest and fees, and we will send you a statement of the amount you owe and the date it is due. If you receive our explanation but still believe your bill is wrong, you must write to us within 10 days telling us that you still refuse to pay. If you do so, we cannot report you as delinquent without also reporting that you are questioning your bill. We must tell you the name of anyone to whom we reported you as delinquent, and we must let those organizations know when the matter has been settled between us.
If we do not follow all of the rules above, you do not have to pay the first $50 of the amount you question even if your bill is correct.
If you are dissatisfied with goods or services you bought with your credit card and you have tried in good faith to correct the problem with the merchant, you may have the right not to pay the remaining amount due on the purchase, if the purchase was made in your home state or within 100 miles of your mailing address and cost more than $50 (these limits do not apply if we own or operate the merchant, or mailed you the advertisement), you used the card for the purchase (not a cash advance or a check that accesses your account), and you have not yet fully paid for it. Contact us in writing at support@shapecard.ai to use this right.
If you are a covered borrower under the Military Lending Act, the Credit Card Rates and Fees include the required statement, and any provision of this Agreement that the Act prohibits does not apply to you.
[TO BE FINALIZED WITH COUNSEL AND THE BANK PARTNER] This section will contain any arbitration provision and class action waiver, with the opt out procedure. This Agreement is governed by federal law and, to the extent not preempted, the law of Pending bank partner.
Questions about your credit account: support@shapecard.ai, or the Issuing Bank at Pending bank partner.
